1. The ProLiant Trade-In Program is available to U.S. Commercial
Customers only. Authorized Resellers may participate in the program only when acting on behalf of a
U.S. Commercial Customer. Customers and Authorized Resellers participating in this program
must abide by these program terms. 2. Hewlett-Packard Company, HP and
Hewlett-Packard Industry Standard Server organization reserve the right to alter or withdraw this program
at any time. 3. Microsoft Corporation reserves the right to alter or withdraw their
participation in this program at any time. 4. Customers may not combine rebate offers or promotions. 5. Customers can purchase up to maximum of 3 ProLiant Servers for each qualified
trade-in. Purchase amount must be agreed upon by both HP Server Trade-In
Program and customer upon submittal of quote request. 6. Prices shown are HP Direct Internet List
Prices; reseller and retailer prices may vary. Prices shown are subject to change and do not include
applicable state and local sales taxes or shipping & handling charges to recipient's destination. 7. All trade-in equipment must have been originally purchased and currently
located in the United States . The Customer must represent that it holds free and clear title to the
equipment. The Customer must have used the server for its own business purposes and be the original
warranty holder and not a leasing company, brokerage house or agent thereof. 8. Please go to our

for a current listing of eligible HP internal server options for this
trade-in program. This listing of eligible HP internal server options
is subject to change without notice. 9. All trade-in servers, tape drives, and storage arrays must have been purchased
as new from the manufacturer. Refurbished servers are not eligible for rebate. 10. In the case of a customer purchase of new qualified servers, internal server
options and Operating Systems directly from Hewlett-Packard Company or an Authorized Reseller, only a
dated itemized sales invoice made out to the customer for the new qualified servers and internal server
options purchased in the United States will be accepted as proof of purchase and will be used in determining
the trade-in rebate amount. In the case of a lease from Hewlett-Packard Financial Services Company of
the new qualified servers, internal server options and Operating System, the reseller sales invoice made
out to Hewlett-Packard Financial Services Company will be used in determining the trade-in rebate amount.
Trade-in net percentages will be applied to the customer invoice sales price of the qualified
HP ProLiant server's base configuration and qualified internal server options only and are subject to
maximum trade-in rebate caps.
Third-party server options will not be used in calculating trade-in rebates. Any
shipping charges, taxes, configuration and/or installation charges, software costs, promotional discounts,
or other miscellaneous costs will not be taken into account in determining the trade-in rebate amount. 11. In the case of a customer purchase of new qualified HP StorageWorks product
directly from Hewlett-Packard Company or an Authorized Reseller, only a dated itemized sales invoice made
out to the customer for the new qualified product purchased in the United States will be accepted as proof
of purchase and will be used in determining the trade-in rebate amount. In the case of a lease from
Hewlett-Packard Financial Services Company of the new qualified HP StorageWorks product, the reseller sales
invoice made out to Hewlett-Packard Financial Services Company will be used in determining the trade-in
rebate amount. Trade-in net percentages will be applied to the customer invoice sales price of the
qualified HP StorageWorks NAS, MSA1000, and Tape Drive's base configuration and and are subject to maximum
trade-in rebate caps. Third-party options will not be used in calculating trade-in rebates. Any shipping
charges, taxes, configuration and/or installation charges, software costs, promotional discounts, or other
miscellaneous costs will not be taken into account in determining the trade-in rebate amount. 12. Partial returns invalidate the quoted trade-in rebate amount. Hewlett-Packard
will not be required to honor quoted trade-in rebate amounts on equipment that is returned beyond the date
specified on the Trade-In Agreement. 13. HP e3000 trade-in equipment requires
Software License Transfer prior to shipping. 14. Non-compliance with the program guidelines and requirements may result in, but
is not limited to, non-eligibility for the program. 15. Trade-in rebates will be provided when customers purchase their new qualified
server and qualified internal server options, or their new qualified StorageWorks NAS, MSA1000, or Tape
Drives from an Authorized Reseller, directly from Hewlett-Packard Company, or lease their new qualified
server and qualified internal server options or their new qualified StorageWorks NAS, MSA1000, or Tape
Drives from Hewlett-Packard Financial Services Company. Trade-in rebates will not be paid to customers who
lease their new qualified server and qualified internal server options or their new qualified StorageWorks
NAS, MSA1000, or Tape Drives with another leasing company. 16. Hewlett-Packard will not be responsible for trade-in rebates that are delayed
due to product availability. 17. Not all of the terms and conditions of this program are listed here. The
complete terms and conditions of the trade-in will be contained in a separate agreement between Customer and
Market Velocity, Inc. 18. The storage trade-in promotion is valid from September 1, 2004 - June 30, 2005. In
addition to the trade-in of eligible storage product toward the purchase of select HP StorageWorks Tape
Drives, NAS appliances, and modular SAN arrays, customer must also trade-in a server and purchase a new eligible
Proliant server or NAS appliance.
